La terminación unilateral de los contratos de larga duración en la edición 2016 de los Principios UNIDROIT sobre contratos comerciales internacionales

Resumen

En este trabajo se analiza el derecho a terminación unilateral de los contratos de larga duración en la cuarta edición de los Principios UNIDROIT sobre contra-tos comerciales internacionales, de 2016. En particular, se analiza el caso regulado en el artículo 5.1.8 de los PICC, referido a los contratos de duración indeterminada o de plazo indefinido, mostrando, en relación con este supuesto, su fundamento, sus condiciones de ejercicio y sus efectos. Además, se da cuenta de la propuesta presentada por el grupo de trabajo que preparó la revisión de 2016 de incluir un supuesto de terminación unilateral del contrato de larga duración con plazo definido, basado en la existencia de causas ex-traordinarias o imperiosas (“compelling reasons”); mostrando las razones del rechazo de esa propuesta.
